The MDF Board of Directors provides institutional stewardship, approves strategic direction and oversees executive accountability, finance, risk and organizational integrity.

BOARD STRUCTURE

Nine directors with defined primary responsibilities

The Board structure provides four primary position categories while allowing additional committee or portfolio responsibilities to be assigned through formal governance processes.

Board Chair

Leads Board governance, meetings, oversight culture and Board effectiveness.

Board Secretary

Supports Board records, governance continuity and formal Board administration.

Board Treasurer

Supports Board-level oversight of financial integrity, budgets, controls and reporting.

Board Members

Six additional directors contribute independent oversight, technical knowledge, public-interest stewardship and committee work.

BOARD RESPONSIBILITIES

Oversight without replacing management

The Board governs and oversees. Day-to-day operations remain the responsibility of executive management and delegated staff.

Strategy & Policy

Approve organizational direction, major policy frameworks and institutional priorities.

Executive Oversight

Appoint, support and hold executive leadership accountable for approved strategy and performance.

Finance & Risk

Oversee budgets, material commitments, financial controls, reserves, risk and audit.

Safeguarding & Integrity

Protect institutional ethics, public trust, legal compliance and appropriate escalation channels.

Partnerships & Reputation

Provide oversight for significant partnerships, funding relationships and institutional commitments.

Performance Review

Receive structured reports on programme, finance, risk, people and organizational performance.
